Terms and Conditions

Effective Date: October 2026 Last Updated: October 2026

These Terms and Conditions ("Terms") are a legally binding agreement between you and Nesting Path LLC ("Nesting Path LLC," "we," "us," or "our"). They govern your use of our website at nestingpath.com (the "Site"), our digital products, [including the Nesting Path Digital Estate Organizer,] and the health navigation, care transition, and legacy administration services we provide by phone, email, text message, video, and in person (together, the "Services").

By accessing the Site, purchasing a product, or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or Services.

PLEASE READ SECTIONS 9 AND 17 CAREFULLY. ALL SALES ARE FINAL AND NON-REFUNDABLE, AND SECTION 17 DESCRIBES HOW DISPUTES ARE RESOLVED, INCLUDING A WAIVER OF JURY TRIAL AND CLASS ACTIONS.

1. Who We Are and What We Do

We are an administrative and care-coordination company. Depending on the Services you select, we may:

  • Health navigation: receive referrals from healthcare providers, contact you about scheduling preferences, identify and contact specialists, schedule appointments, and communicate appointment and referral status to you and your referring provider;

  • Care transitions: help coordinate paperwork, communication, and logistics related to hospital discharge, facility placement, home health, and hospice transitions;

  • Legacy administration: help organize personal, financial, and digital account information, and assist with administrative tasks after a death, such as notifying agencies and institutions and requesting account closures; and

  • Digital products: provide organizers, checklists, templates, guides, and other educational or organizational tools.

The specific scope of any engagement will be described in a service agreement, order form, invoice, or product listing (a "Service Order"). If a Service Order conflicts with these Terms, the Service Order controls for that engagement.

2. What We Do Not Do

We are not a healthcare provider, law firm, attorney, financial advisor, tax preparer, insurance agent, or real estate professional. Our staff may include individuals with clinical, legal, or financial backgrounds, but they do not act in that professional capacity when providing the Services.

Specifically, we do not:

  • Diagnose, treat, or give medical advice, or recommend a particular course of treatment;

  • Draft wills, trusts, powers of attorney, advance directives, or other legal documents, give legal advice, or represent you before any court or agency;

  • Give investment, tax, insurance, or financial advice;

  • Give real estate advice or act as a real estate broker or agent;

  • Make healthcare, financial, or legal decisions on your behalf; or

  • Guarantee insurance coverage, authorizations, or payment.

Educational materials, checklists, and templates we provide are for general information and organization only. You should consult a licensed professional for advice about your situation. No professional-client relationship (such as doctor-patient or attorney-client) is created by your use of the Services.

Insurance referrals and authorizations. Obtaining insurance referrals, prior authorizations, or coverage approvals is the responsibility of you and your healthcare providers. We may help by requesting that your provider submit a referral or by sharing status updates, but we are not responsible for whether a referral or authorization is issued or approved.

3. Not for Emergencies

THE SERVICES ARE NOT FOR EMERGENCIES OR URGENT MEDICAL NEEDS. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. If you or someone you know is in crisis, call or text 988. Do not rely on messages to us for time-sensitive medical matters; we may not see them right away.

4. Eligibility and Authority

You must be at least 18 years old and able to enter into a binding contract to use the Services.

If you use the Services on behalf of someone else (for example, a parent, spouse, or deceased family member), you represent and warrant that you have the legal authority to do so, such as authority as a health care surrogate, agent under a power of attorney, legal guardian, or personal representative or executor of an estate, or that you have that person's written permission. We may require documentation of your authority before providing Services and may decline or pause Services until we receive it. You are responsible for any consequences of acting without proper authority.

5. Your Responsibilities

You agree to:

  • Provide accurate, current, and complete information, and promptly update it when it changes;

  • Respond to our reasonable requests for information, documents, signatures, and authorizations in a timely manner;

  • Attend scheduled appointments or cancel them directly with the provider according to that provider's policies;

  • Review documents, notifications, and correspondence we prepare or send at your direction before they are submitted, where we give you the opportunity to do so;

  • Use secure methods we provide when sending Social Security numbers, health information, or account information; and

  • Not send us account passwords, PINs, or security answers unless we specifically request them through a secure method.

We rely on the information you and your providers give us. We are not responsible for delays, errors, or outcomes resulting from inaccurate, incomplete, or late information.

6. Third-Party Providers and Institutions

In providing the Services, we interact with healthcare providers, facilities, government agencies, financial institutions, insurers, and online platforms ("Third Parties"). Third Parties are independent and are not our employees, agents, or partners.

  • Provider selection. When we identify specialists or facilities, we may draw from a network of providers we have reviewed. Our review is limited and does not guarantee the quality, availability, licensure status, insurance participation, or outcome of care from any provider. You are free to choose any provider, and the final choice of provider is yours.

  • No responsibility for Third Parties. We do not control and are not responsible for the actions, decisions, fees, policies, timelines, or errors of any Third Party, including appointment availability, wait times, claim decisions, or an institution's refusal to act on a notification or request.

  • Provider compensation. We do not accept payment or anything of value from healthcare providers in exchange for referring patients to them.

7. No Guarantee of Results

We will perform the Services with reasonable care and in a professional manner. However, because results depend on Third Parties and on information outside our control, we do not guarantee any particular outcome, including that an appointment will be available within a certain time, that an account will be closed or transferred, that benefits will be paid, or that any agency or institution will accept or act on a request.

8. Fees and Payment

  • Fees. Fees for the Services and products are stated in the applicable Service Order, on the Site, or at checkout. Unless stated otherwise, fees are in U.S. dollars and exclude applicable taxes.

  • Payment. You authorize us and our third-party payment processor to charge your selected payment method for all fees when due. For recurring or retainer-based Services, you authorize recurring charges until you cancel as described in your Service Order.

  • Third-party costs. Unless your Service Order says otherwise, you are responsible for costs charged by Third Parties, such as medical fees and copays, certified copies of death certificates, court or filing fees, postage, and notary fees. We will obtain your approval before incurring any significant third-party cost on your behalf.

  • Late payment. We may pause Services for past-due amounts. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.

  • Health coverage. Our fees are generally not covered by health insurance, Medicare, or Medicaid unless we expressly state otherwise in writing.

9. Cancellations and Refunds

  • Payment in full. Payment for all Services and digital products is due in full at the time of purchase.

  • Services begin at purchase. Services begin on the date of purchase. Our work, including intake, review of your information, and coordination, starts immediately, and fees are considered earned when paid.

  • No refunds. All sales of Services and digital products are final. We do not offer refunds, credits, or partial refunds after purchase, including for unused portions of a Service.

  • Cancellation. You may cancel Services at any time by written notice to Help@nestingpath.com. Cancellation stops further work but does not entitle you to a refund. By purchasing, you acknowledge and agree that you waive any refund if you cancel.

  • Satisfaction concerns. If you are dissatisfied with the Services, please contact us at help@nestingpath.com We will review your concerns and work with you in good faith to address the situation. Any resolution we offer is at our discretion and does not create a right to a refund.

10. Digital Products License

When you purchase a digital product, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download, use, and print it for your own personal, non-commercial use, and for use with your own family. You may not resell, redistribute, share publicly, modify for sale, or use our products to provide services to others without our written permission.

You are responsible for storing completed organizers and any sensitive information you enter into them securely. We are not responsible for loss, disclosure, or misuse of information you record in a product that is stored on your own devices or accounts.

11. Communications and Electronic Consent

By providing your contact information, you agree that we may contact you by phone, email, and text message about your Services, appointments, and account. Marketing messages will be sent only with your consent where required, and consent to marketing messages is not a condition of purchase. Message and data rates may apply; reply STOP to opt out of texts.

You agree that we may provide agreements, notices, and other communications electronically, and that electronic signatures and records have the same effect as paper ones.

12. Privacy and Confidentiality

Our collection and use of personal information, including health information and information about deceased individuals, is described in our Privacy Policy on the nestingpath.com website. Where we act as a business associate of your healthcare provider, we handle protected health information as required by HIPAA and our agreement with that provider.

13. Intellectual Property

The Site, our products, and all related content, including text, graphics, logos, checklists, templates, workflows, and software, are owned by us or our licensors and are protected by intellectual property laws. Nesting Path LLC, [Nesting Path LLC,] and our logos are our trademarks. Except for the license in Section 10, you may not copy, reproduce, distribute, or create derivative works from our content without our written permission.

14. Acceptable Use

You agree not to:

  • Use the Site or Services for any unlawful or fraudulent purpose, including impersonating another person or misrepresenting your authority to act for someone;

  • Provide information you do not have the right to share;

  • Interfere with, disrupt, or attempt to gain unauthorized access to the Site, our systems, or other users' information;

  • Use automated tools to scrape or collect data from the Site; or

  • Harass, threaten, or abuse our staff or any Third Party.

We may suspend or terminate Services if you violate these Terms.

15. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SERVICE ORDER, THE SITE, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT INFORMATION ON THE SITE IS COMPLETE OR CURRENT.

16. Limitation of Liability and Indemnification

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BENEFITS, ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, INCLUDING DAMAGES CAUSED BY THE ACTS OR OMISSIONS OF ANY THIRD PARTY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU HAVE PAID NOTHING.

These limitations do not apply to liability that cannot be limited by law, such as liability for gross negligence, willful misconduct, or fraud. Some states do not allow certain limitations, so some of the above may not apply to you.

Indemnification. You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, information you provide that is inaccurate or that you had no right to share, or your misrepresentation of your authority to act on another person's behalf.

17. Dispute Resolution and Arbitration

Contact us first. If you have a concern about the Services or these Terms, you agree to contact us at Help@nestingpath.com with a written description of the issue before taking any other action. We will review your concern and work with you in good faith to resolve it within 30 days of receiving it.

Small claims. If we cannot resolve the dispute informally, either party may bring an individual claim in small claims court, if the claim qualifies.

Court proceedings. Any other dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Broward County, Florida, and you and we consent to the personal jurisdiction of those courts.

Individual claims only. To the extent permitted by law, you and we agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

Jury trial waiver. To the extent permitted by law, you and we waive the right to a trial by jury for any dispute arising out of or relating to these Terms or the Services.

18. Governing Law

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law rules. Court proceedings are governed by Section 17. Nothing in these Terms limits any rights you have under the consumer protection laws of the state where you live that cannot be waived by contract.

19. Termination

You may stop using the Services at any time as described in Section 9. We may suspend or end Services, with notice where practical, if you violate these Terms, fail to pay, fail to provide needed information or authorization, or if continuing would be unlawful or unsafe. Sections that by their nature should survive termination, including Sections 2, 6, 7, and 10 through 20, will survive.

20. General Terms

  • Changes to Terms. We may update these Terms by posting a revised version and changing the "Last Updated" date. Material changes will not apply to engagements already in progress without your agreement. Continued use after changes take effect means you accept them.

  • Force majeure. We are not liable for delays caused by events outside our reasonable control, including natural disasters, hurricanes, power or internet outages, government actions, or Third Party delays.

  • Entire agreement. These Terms, the Privacy Policy, and any Service Order are the entire agreement between you and us about the Services.

  • Severability. If any provision is found unenforceable, the rest of these Terms remain in effect.

  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

  • Independent contractor. Nothing in these Terms creates a partnership, employment, agency, or fiduciary relationship between you and us.
